
W. ALEXANDER NOLAND
Alex is the founding shareholder of Noland Law PC and
manages the firm. He has been practicing California
community association law since 2008, and has been
based in the San Francisco Bay Area since 2011.
Alex has built a strong reputation for providing
creative solutions and clear opinions to his clients. His
practice includes counseling associations on corporate
governance, fiduciary duties, and compliance with
statutory and regulatory requirements, negotiating
and drafting contracts, amending and restating
governing documents, preparing opinions and
advisory letters on corporate business and legal issues,
and representing associations in mediation and other
alternative dispute resolution proceedings. Alex
provides legal services to boards of directors
governing residential, mixed-use, and commercial and
industrial common interest developments.
Alex is the current President of the Board of Directors
of the Bay Area and Central California Chapter of the
Community Associations Institute (CAI), and is a
member of the Chapter’s Education Committee and
Legislative Support Committee. On a national level, he
is a fellow of CAI’s College of Community Association
Lawyers, a select honor conferred in recognition of his
long history of commitment as an educator and
advocate for community associations. Alex is also a
member of the Legal Advisory Steering Committee and
the faculty of the California Association of Community
Managers (CACM). He regularly speaks at events
hosted by and authors articles for publications of CAI,
CACM, and the Educational Community for
Homeowners (ECHO).

GOVERNING DOCUMENTS
Drafting, amendment, and restatement of CC&Rs, articles of incorporation, bylaws, operating rules, and other association governing documents.
CORPORATE COUNSEL
Advise associations on legal and business issues related to real estate matters, contractual disputes, employment/labor issues, insurance claims, liability prevention, financial planning, and reporting and disclosure requirements.
DISPUTE RESOLUTION
Preparation for and representation of associations in internal dispute resolution and alternative dispute resolution (i.e., mediation and arbitration) proceedings.
CONTRACTS
Negotiation and drafting of construction contracts, covenants running with the land, easements, leases, employment agreements, vendor and service provider contracts, indemnity and release forms, film location agreements, and other contracts.
OPINION LETTERS
Analyze and research legal issues facing associations, prepare opinions and advisory letters for associations on those issues, and provide suggestions and guidance to associations on addressing and resolving corporate business issues.
BOARD TRAINING
Conduct education sessions for association boards of directors on corporate governance, fiduciary duties, and compliance with local, state, and federal statutory and regulatory requirements.
LITIGATION
We are partnered with litigation attorneys to assist associations with legal disputes involving their members/owners and third parties, and oversee every step of the litigation process.
DISPUTE RESOLUTION
Preparation for and representation of associations in internal dispute resolution and alternative dispute resolution (i.e., mediation and arbitration) proceedings.
RULE ENFORCEMENT
We assist associations with enforcing their operating rules and pursuing disciplinary measures and other enforcement actions against members/owners for rule violations.
